Globe says Shopify heads to New York to raise capital

The Globe and Mail reports in its Wednesday edition that Shopify has once again largely bypassed Canadian underwriters for its latest capital raise. The Globe's Sean Silcoff writes that Canada's largest company on Tuesday filed preliminary prospectuses to raise $800-million (U.S.) in convertible senior notes and to sell 1.1 million subordinate voting shares. Wall Street banks Goldman Sachs, Citigroup and Credit Suisse are the only ones listed in the regulatory documents as underwriters and stand to earn millions in fees on the financings. Royal Bank of Canada, which played a secondary role on Shopify's May, 2015, initial public offering, was added as a co-manager on the debt and equity deals. The share and debt sale should bring in well north of $2-billion to the Ottawa-based company's balance sheet. The underwriters have the option to buy another $120-million (U.S.) of the notes and 165,000 shares. This is the second time Shopify has sought to sell more than $1-billion of stock this year, after netting $1.46-billion (U.S.) from an overnight block trade in May that was led by Morgan Stanley and Credit Suisse. Shopify has benefited from a rapid increase in the adoption of on-line commerce during the pandemic.
