SUMMUS SOLUTIONS N. V. RESULTS OF ANNUAL AND EXTRAORDINARY SHAREHOLDERS MEETING CHANGE INTO SUSTAINABLE HIGH-TECH PORTFOLIO INVESTMENT COMPANY WITH ANKER INVESTMENT IN IONOTERRA P.C. LIMITED

On Dec. 17, 2019, Summus Solutions NV held its annual and extraordinary shareholders meeting. At the meeting, 72.86 per cent of the outstanding shares were represented and all resolutions placed before the shareholders were voted in favour.

In summary:

• The June 30, 2019, audited financial statements were approved.
• The directors were granted dismissal and discharge for their management during the fiscal year ending June 30, 2019.
• Urs Meisterhans, Jerome Huser and Marios Savva were elected directors of the company for the ensuring year and to hold office until the next annual general meeting.
• Smythe LLP was appointed as the auditor of the company to hold office until the close of the next annual general meeting and the directors of the company were authorized to fix the remuneration to be paid to the auditor.
• The debt reduction and share property transfer agreement was approved.
• The company was approved to change its business from an oil and gas company to an investment company.
• The company was approved to increase the authorized capital of the company from 250,000 euros to two million euros and partially amend the company's articles of association accordingly.
• The shareholders approved to allocate the board of directors with the power to issue up to a maximum of 100 million shares in the capital or entitlements to acquire such shares and to exclude any pre-emptive rights with regard to such issuance of shares or entitlements to acquire shares.
• The ratification of the issuance of the seven million shares on July 25, 2019, to investors in a private placement was approved.
