BIONXT ANNOUNCES SHARES FOR DEBT SETTLEMENT

Bionxt Solutions Inc. has entered into a debt settlement agreement with an arm's-length creditor related to an aggregate of $225,010 outstanding debt owing for services provided by the creditor to the company. In full satisfaction and settlement of the debt, the company will: (i) issue an aggregate of 112,505 common shares in the capital of the company at a deemed price of $1 per debt share; and (ii) make a cash payment of $112,505 to the creditor.

The debt shares issued in connection with the debt settlement will be subject to a statutory four-month-and-one-day hold period, in accordance with the policies of the Canadian Securities Exchange and applicable Canadian securities laws. The issuance of the debt shares and completion of the debt settlement is subject to certain conditions, including the receipt of all necessary regulatory approvals, including the approval of the CSE.
