WESTMINSTER RESOURCES LTD. ANNOUNCES PRIVATE PLACEMENT AND SHAREHOLDERS ELECT BOARD OF DIRECTORS

Westminster Resources Ltd. has arranged to undertake a private placement to raise gross proceeds of up to $200,000 through the sale of up to four million common shares priced at five cents.

The proceeds from the offering will be used for general working capital. A finder's fee, commensurate with TSX Venture Exchange policies, may be paid in connection with the offering. The offering is subject to the acceptance of the TSX-V and board approval.

The company is further pleased to announce that all of the resolutions put forth at its annual general meeting of shareholders held on Feb. 15, 2019, have been approved. In addition to the approval of the company's advance notice policy, rolling stock option plan and the reappointment of Dale Matheson Carr-Hilton Labonte LLP as auditor of the company for the ensuing year, the number of directors was set at four and the shareholders elected the following directors of the company:

  • Jason Cubitt -- interim president, chief executive officer and director of the company since Aug. 29, 2017;
  • Chafika Eddine -- director of the company since Oct. 2, 2018;
  • Christopher Gale -- director of the company since July 17, 2018;
  • Daniel Maarsman -- newly elected director of the company.
